TERMS AND CONDITIONS FOR TRAINING SERVICES.

1-Acceptance – This binding Purchase Agreement (“Agreement”) is entered  into by and  between the Customer (as identified on the face of this agreement "Prepared for") and AFROCON LLC LLC, as of the date signed by both Parties and/or Customer makes a partial for full payment of this Purchase Agreement. This Agreement is subject to the terms and conditions set forth herein. Throughout this Agreement, the Customer and AFROCON LLC, may be individually referred to as “Party” or collectively as “Parties.”

 2-Price – The price for each item or service covered by this Agreement shall be shown on the face of this Agreement.
 Cost “per student” has a “ risk cost” and it  is calculated for the first group registering and requesting the training, if the group amount is less than 10 students. AFROCON LLC has the right to add more students at different price if it is needed and not refund the difference will be given to the first group. Proposal pricing is good for 30 days from the date on the proposal page #1.
 

3-Payment – On-site Training Invoices shall be paid at least sixty (60) calendar days prior to the commencement of any training. Off-site Training Invoices shall be paid at least sixty (60) calendar days prior to the commencement of any training, choosing of training material, delivery of any training material or instructor travel associated with providing the agreed to train service, as applicable. Payment shall be made in immediately available U.S. dollars free and clear of any deductions and/or withholding, transferring exactly the invoice amount. Payment may be made by wire transfer; or credit card services, (depending of the country an extra fee will be charged).
 *Any Invoice not paid on or before the due date, will incur in a 10% fee per week to a maximum of 40% if the invoice is not paid over time (4 weeks after invoice is due).
 *If an agreement is done where payment is done in two parts (all payments must be done before the starting course date), IF the second payment is not received at our bank account before the instructor travels, digital certificates will be given. If aN original is needed, customer will pay for the shipment of the original certificates after the course is finished.
 NOTE: Travel expenses and training material shipment are always subject to change as airfares, hotel and shipping  rates are highly variable and will increase unless reservations are made as far in advance as possible. We recommend booking a course a minimum of 8 weeks in advance in order to lock  in  the best prices. Experience has  shown  that  booking  a  course  at  least  8  weeks  in  advance  saves  on  travel and shipment expenses and allows the client and the instructor ample time to prepare. Customer will pay any price difference for airline ticket, hotel and shipment.

 4-Cancellation of Training - AFROCON LLC LLC must be contacted thirty (30) calendar days prior to class  start   date  for  cancellation  or rescheduling. Any arrangement paid in advance or already paid by AFROCON LLC LLC (Airline Ticket, Hotel, etc) will be deducted from the training portion to be credited for another training we offer, in case of rescheduling, any extra charges, it will be paid accordingly by the customer.
 *If customer does not  give notice of cancellation of the training with at least 30 days, a 35% of the full course amount will be paid to AFROCON LLC LLC any advancement of payment will be taking in consideration plus the 35% fee.
 *If training is cancelled due to nature AFROCON LLC LLC is not obligated to return any money to the customer, only a rescheduling can be done to accommodate both parties ( AFROCON LLC LLC and Customer), and all instructor expenses (airline/hotel/transportation) will be adjusted accordingly.
 *If the instructor become ill or not able to teach, the portion of the training will be rescheduled as soon as AFROCON LLC LLC is available to finish the training. A full new training will not be done, just the section required to conclude the training requested originally.
 *If the instructor become ill before departure to the customer location, a reschedule will be arranged taking in consideration the customer schedules and AFROCON LLC schedules. This issue will not create a fine or extra cost for any party.
 *If  a  training  is  cancelled  or  altered,   any  fee  to  change  the  instructor  airline  ticket  will  be  paid  by customer.  This  is  in  case  the instructor is already at customer location or close to departure to the customer location.
 

5-Training Material -Any custom (import) taxes produced on training material will be paid by customer to AFROCON LLC LLC before the end of the training.
 Any shipment returned by custom back to AFROCON LLC LLC will be paid by the customer. Customer is responsible to know the process in their country.
 If shipment needs to be sent "rushed" due to late payment, the customer will pay for the extra cost involved in all expenses generated.

 6-Taxes – The price of this Agreement is net of all local taxes.

 7-Participants – The Customer must submit individual student information at least 14 days prior to the training start date. Information will include name, birth date, citizenship, qualifications and company of employment. Maximum student enrollments will vary based on the type of course and helicopter model. Miss spelled name, will only produce a corrected digital certificate no exception. This agreement approve the use of any picture taken during training for advertisement, this also include the use of  the client company logo. AFROCON LLC Certificates are not intended for technical instructor's refresher approval, only for AFROCON LLC instructors.
 The student must be a Civilian Certified Mechanic or Military mechanic with at least 2 yrs. of experience in the model being trained.
 AFROCON LLC is not responsible for any issues direct or indirect that arise due to translation done by anyone in the class, any student or customer's translator.

 8-IA Renewal – If any student requires that the training be used for their IA license renewal, the FISDO covering your region must be contacted  by  the customer  interested.  The  training  must  be  done  in English  language  and  the  certificate  last  2  years,  after  that,  the certificate expires. Also, some training  are very specifics and can not be used for recurrent if it is not a recurrent certification  done  by FAAST.
 

9-No Warranty – AFROCON LLC LLC must follows OEM manuals in order to produce the correct training material. The Manuals are copyrighted by each OEM and AFROCON LLC LLC uses their manual under the
 -AFROCON LLC LLC  makes  no  warranty of  any  kind with respect to training  services performed  under this Agreement because it
 is an educational services, and this depends on the individual receiving the education. Training is a Perceptual Process.

 10-Default – Either Party shall have the right to cancel this Agreement partially or completely in the event of a breach of a material term by the other Party. If the Customer materially breaches any of the terms of this Agreement, AFROCON LLC LLC may cancel the services and retain any deposits, expenses done toward the specific training requested by the customer or prepayments.

 11-Choice of Law and Jurisdiction – This Agreement shall be interpreted under and governed by the laws of the State of Texas, excluding its choice of law rules. In the event of any dispute or claim arising under this Agreement, the Parties hereby agree that any lawsuit or other legal action shall be filed in the courts of general jurisdiction for the State of Texas.  Each Party in the performance of this Agreement shall comply with applicable provisions of all United States, foreign, state and local laws and regulations promulgated there under including but not limited to U.S. export laws and regulations, and the U.S. Foreign Corrupt Practices Act as amended. Failure to effect compliance in all material respects of this Agreement shall be construed as a material breach under this Agreement.

 12-Ground/Classroom Instruction and Materials – HITGlobal LLC must use the correct technical information found under the OEM manuals which are copyrighted. We are obligated to use the manuals in order to produce an accurate technical training and we fall under the "FAIR USE OR COPYRIGHTED MATERIAL".
 -During  the course of  the training,  AFROCON LLC LLC instructors shall furnish written or electronic materials  that  are  copyrighted by the OEM  and  contain  information  Proprietary  to  AFROCON LLC  LLC. The  Customer  agrees  that  such information  as  is  disclosed  and  such  materials  as  are  furnished  shall  only  be  used  for  training  purposes  only  by  student  pilots  and/or student technicians attending the training sessions and shall not be copied, nor shall the information be disclosed to anyone other than employees or clients of the Customer(contracting  customer). Training material cannot be used in life or airworthy aircraft.
 *If customer has aircraft components to do practical (OJT), a MOU must be signed to limit the liability of the instructor and AFROCON LLC LLC.
 *If during training pictures or videos are taken, this recording will be owned by AFROCON LLC LLC.
 *Video and voice recording are not allowed unless the instructor allows it (in write), in this case the instructor is responsible for any outcome.
 *If a student will attend more than one training course, that student will only receive ONE tablet with all the presentations installed in his/her tablet. We buy different brands of tablets so in one class, students may have different brands or types of tablets, AFROCON LLC LLC is not obligated to match tablets. The Customer agrees that no recording of the training sessions, whether by audio, visual or other means shall be made. Training material will be given ONLY to students registered and completing the training.
 *If student takes the tablet away from classroom and is damaged, AFROCON LLC LLC is not obligated to give another one.
 *If training material is installed and/or given by a contracted instructor or company, all the copyrights rules falls into that instructor and/or company contracted.

 13-Certificates of Training – AFROCON LLC LLC shall issue a Certificate of Completion upon termination of the technical training courses, and payments  are in full. In order for the student to pass the course he or she must be present 90% of the class and have an average of all the tests over 70%. Customer must make sure local Civil Aviation Agency approve this training, it is not AFROCON LLC LLC responsibility. Student can only miss 10% of the total hours of the class he/she is taking. Every two years after completion of a course, the student will need a recurrent course to continue certified and recurrent in the specific  type of  course and  aircraft or engine model.
 Sometimes the course finish before or after the date on the certificate, under the FAA and AFROCON LLC there is no conflict or issue if this is the case; if the customer requires the certificate to have the exact date on the certificate of the day the course finished, the certificate will be changed and will be given only in digital format.
 

14-Student behavior -Any AFROCON LLC LLC instructor has full authority to remove any student that is disturbing or being disruptive to the whole class and the tablet or training material must be returned to the instructor.

 15-Contract changes: Sometime the customers requires a contract for a training in a short time and due to the specifics for that training some NOTES will be included in a "REVISED PROPOSAL" .

 16-Engine Ground Run Training –In this Agreement, AFROCON LLC LLC is not responsible for: any section of the helicopter or as a whole, including sub- sections or components, engine or engines, personnel outside or inside the helicopter, any ground equipment or ground personnel, any kind or type of damage, injury, fire, death of any form of life due to any incident/accident due to this high-risk training. The customer acknowledge the risk involved in this kind of training and understand that AFROCON LLC is not responsible of any thing owned by the customer that was damaged due to an incident/accident during training, and/or any other entity in the area, including other customer business located in the area of the training. Any survival from  any incident/accident emergency  or  hospital or  disability  AFROCON LLC LLC  will  not be responsible  of  any wrongdoing or responsible in any way/case or form. Also, if any accident reach as far as the hangar or any other facility in the area including offices AFROCON LLC LLC will not be responsible of any wrongdoing.

 17-If customer comes to UAE OR ANY OTHER GLOBAL TRAINING CENTER  for training – Each student must come to UAE OR ANY OTHER COUTNTRY with heath/accident  insurance issued by the company or entity where he/she is from.
 *Each student must give a credit card at the hotel for any incidental charges like phone calls, laundry, etc. AFROCON LLC LLC does not pay for it.
 *If customer is delayed on the coming or returning flight by any reason (nature/political/health/self inflicted) AFROCON LLC will not pay for any extra time spent in the UAE or fees to change the airline ticket, including hotel and transportation.
 *AFROCON LLC LLC for no reason will be responsible or liable for any logging or transportation arrangement, this is done as a support to the customer (S) but without any responsibility of AFROCON LLC LLC or its employees.

 18-Technical Advice services - AFROCON LLC will not do any work on any component or aircraft, only advise. In case of any part is damaged or a wrong  outcome from the advice (instructions are given and this depends on how the technician/engineer understand the instructions), AFROCON LLC and
 its employees will not be hold responsible of any wrongdoing   or at fault of anything regarding this project nor to the contracting company facilities, including personnel.

 19-Trip Expenses -  *If  customer  pays  for  the  instructor  trip,  the  whole  trip  must  be  arranged  in  the  ticket  class  all legs (business,  first) changeable and refundable.
 *If customer pays for hotel, transportation and any other expenses where the training is being given and it does not follow a good level of comfort, safety and restful environment to the instructor, AFROCON LLC LLC  will allow the instructor to move to a place of his/her preference and the customer will pay for the hotel and/or any other expenses created due to this. As standard, the hotel needs to be a 5 start U.S. franchise.
 *If there is a requirement for vaccination or testing, the customer will pay for any expenses that AFROCON LLC need to pay for the vaccination or testing and if there are any side effects, any expenses of hotel or medical will be pay by the customer as well.
 *If there is a visa requirement, customer will pay for any expenses the visa will produce. Any cost before departure, upon arrival and during the stay in the country. Customer must inform AFROCON LLC LLC of any Visa requirements with enough time to process the visa, any delay caused by the visa process, any fees will be paid by the customer. Customer will advise in details which visa to get and how to get the visa.

 20-Subcontracting-(ONLY THIS TERM WILL BE IN EFFECT IF IT IS CALLED IN THE SECTION "PRICING DESCRIPTION") AFROCON LLC LLC in the process to help the customer to get the training they need ; AFROCON LLC LLC may subcontract a training company or instructor to do the training the customer  requires, this specific courses are not certified to AFROCON LLC LLC. The customer  agrees  that   if  any  issue,  problem  or  process with  this subcontracted company or instructor is created, the customer will deal directly with the subcontracted training company, instructor or partner. AFROCON LLC LLC does not have control over the training process of the subcontracted training company or PARTNER. The customer after payment of the course accepts this condition.  AFROCON LLC LLC is  not  responsible  or  liable  for  any  direct  or  indirect  damages  caused by    the  subcontracting    training   company,   instructor   or   partner.  Full  responsibility  falls  under  the  instructor  signing  the  certificate and the customer. 

 21-Online Course –When AFROCON LLC LLC is contracted or offer an online course, the training material, registration, examination and certificates all will be in digital format and no tablets will be given; training material will be downloaded from our cloud (customer is responsible for protecting files against virus). If the customer requires a paper certificate, there will be a charge for each one. Online courses program schedule (timing) differ from in person schedule courses, this is due to online presentations easy for student distractions so, more breaks will be needed. Only students registered can be present during the course. If there is any extra not registered student, AFROCON LLC LLC instructor will stop the course until this issue is resolved. The instructor will use the best technics to teach online and one of the process used is called “Online instruction includes real- time( synchronous) and anytime, anywhere – homework ( asynchronous) interactions”, or any other teaching process can be use and it is at the instructor discretion. Recording of class is not allowed.

 22-Training at Customer Facility – Customer will supply an environmentally controlled classroom, with enough space for the student amount. A projector, computer or device to connect (USB or data bank) instructor course presentations, Wi-Fi, board and any other items needed by the instructor, all these items should be available before, during and after the class schedule.
 *Customer will supply all beverages and snacks for all students and instructor during the breaks for the whole training period.

 23-Customer agree to pay instructor expenses– If customer request or agrees to take care of all the instructor expenses ( airline ticket/hotel/local transportation/meals) must accept the AFROCON LLC requirments like Business Class airline ticket, 5 or 4 star hotel US franchise, taxi or car rental as AFROCON LLC LLC requires.
 24-Proposal/Purchase Agreement –Otherwise noted,any AFROCON LLC LLC Proposal/Purchase Agreement expires in 30 days from the date posted in the Proposal/Purchase Agreement.

 25-Contracting overseas company - Any company abroad(overseas) from UAE is required to find out if our training material (TABLETS)  are accepted in their country. Failing to do this and our training material is returned back to UAE, the Abroad(overseas) company will pay to purchase the tablets in their country same or above our quality tablets at not cost to AFROCON LLC LLC. 

 26-Liability Limitations during training using customer components and working around helicopters - Working around helicopters is dangerous and there are risks of injuries, pain and death. During training practices. AFROCON LLC LLC and/or its instructors will NOT  be held responsible of any injuries pain or death of any student during training directly or indirectly also, during training AFROCON LLC LLC and its channel partner instructors will be responsible for any other issues that can arise during during training around the helicopter.

 27-Memorandum of Understanding during training- Please understand that field maintenance and Overhaul courses are normally conducted with scrapped parts or red tagged components. These trainings are carried out on non-airworthy components dedicated for training, using the special tools as called out in the applicable Bell publications. On occasion, our training components are damaged beyond repairable limits during the course that would require replacement if this were to happen on airworthy components or parts. Even though great attention to detail is taken during the courses accidents sometimes do happen. Therefore in order for the AFROCON LLC and its channel partner Instructors to conduct the technical training at your facility, we would need for you to provide components suitable for training. If non-airworthy training components are not available and you choose to use live airworthy components, AFROCON LLC LLC assume no responsibility or liability to repair or replace those parts or components that may be damaged in the course of training. Where live airworthy parts and or components are used for training, you agree to return these parts and or components through a complete overhaul inspection before returning the parts or components to service and issuing a yellow tag. The course will not include the application of paints, sealants, or safety wiring components, nor will it include the preparation of parts for overhaul or NDI inspection. Signing this proposal indicates that you agree to these conditions.
 NOTICE –We encourage the operator (Clients) to have in place an “engineer/mechanic level” as the experience from one engineer/mechanic to another is different and a certificate should not open to an interpretation that now(after certification) everyone can do everything in the helicopter. This training is basic and to be able to increase the engineer/mechanic technical experience, the organization should have in place a classification of how much an engineer/mechanic can do based on their personal OJT. As an example, an organization can have engineer/mechanic 1, engineer/mechanic 2, and so forth. Each level increases the responsibility for repairs. More time working in the helicopter (OJT)  brings a more safe and more productive process in the operation.
